1. Agreement to terms
By engaging Systemic Drive for services, you agree to these Terms and Conditions. Please read them carefully before proceeding with any project.
2. Services provided
Systemic Drive provides AI automation and business process optimization services, including but not limited to:
• Workflow automation and process systemization.
• HR systems and recruitment automation.
• Sales and marketing automation (including cold outreach).
• Customer experience improvements.
• CRM and sales pipeline automation.
• Payment system setup and integration.
• General business consultation and optimization
The specific scope of work for each project will be defined in a separate project proposal or agreement.
3. Payment terms
3.1 Project pricing
All projects are quoted individually based on scope, complexity, and timeline. Pricing will be confirmed in writing before work begins.
3.2 Payment structure
• 30% deposit required upfront to secure the project and begin work.
• 70% due upon project completion, before final delivery of work.
• Payment is due within 7 days of invoice date unless otherwise agreed.
3.3 Accepted payment methods
We accept bank transfers, Stripe, PayPal, and other methods as agreed upon.
3.4 Late payments
• A 5% late fee will apply to invoices unpaid after 7 days.
• An additional 1.5% monthly interest will accrue on overdue balances.
• Work may be paused or withheld until payment is received.
3.5 Rush projects
Projects requiring completion in under 2 weeks may incur a rush fee of 25-50% depending on urgency and availability.
4. Refund and cancellation policy
4.1 Client cancellation
• Before work begins: full refund of deposit, minus any discovery or consultation work already completed.
• After work begins: deposit is non-refundable. Client will be billed for work completed on a pro-rata basis.
• After 50% completion: no refund available. Remaining balance is still due.
4.2 Systemic Drive cancellation
If we are unable to complete your project for any reason, you will receive a full refund of all payments made.
4.3 Project abandonment
If a client becomes unresponsive for 30+ consecutive days without prior notice, the project will be considered abandoned. The deposit will be retained and the project closed.
4.4 Scope changes
Changes to the agreed project scope may result in additional fees. Minor adjustments within the original scope are included. Major changes require a new quote or add-on agreement.
4.5 Project Pauses
Projects may be paused once for up to 30 days at the client's request. After 30 days of client inactivity, the project may be considered abandoned per section 4.3.
5. Intellectual property
5.1 Ownership after payment
Upon full payment, you own the final deliverables created specifically for your project (automations, workflows, systems).
5.2 Pre-existing materials
Systemic Drive retains ownership of any pre-existing templates, frameworks, tools, or methodologies used in delivering your project.
5.3 Portfolio rights
Systemic Drive reserves the right to use completed work in portfolios, case studies, and marketing materials unless a separate non-disclosure agreement is in place.
6. Client responsibilities
You agree to:
• Provide timely access to necessary systems, accounts, and information.
• Respond to requests for feedback and approvals within reasonable timeframes.
• Ensure you have authority to grant access to third-party platforms.
• Provide accurate information about your business needs and requirements.
Delays caused by client unavailability or lack of access may extend project timelines.
7. Confidentiality
Systemic Drive will keep all client information confidential and will not share sensitive business data with third parties without permission, except as required by law or necessary to complete the project (e.g., third-party tool integrations).
8. Warranties and limitations
8.1 Service warranty
We will deliver services with reasonable skill and care. If work does not meet the agreed specifications, we will make reasonable efforts to correct it at no additional cost.
8.2 No guarantee of results
While we aim to improve your business processes, we cannot guarantee specific business outcomes, revenue increases, or lead generation results. Results depend on many factors outside our control.
8.3 Third-party tools
We often integrate third-party platforms (CRMs, email tools, etc.). We are not responsible for changes, outages, or issues with these external services.
8.4 Limitation of liability
Systemic Drive's total liability for any claim related to our services is limited to the amount paid for the specific project in question. We are not liable for indirect, consequential, or incidental damages.
9. Compliance and legal use
You agree to use our services in compliance with all applicable laws and regulations. We will not create automations or systems designed for spam, fraud, harassment, or any illegal activities.
10. Term and termination
Either party may terminate the agreement with written notice. Upon termination:
• Client pays for all work completed to date.
• Systemic Drive delivers all completed work upon receipt of final payment.
• Deposits are non-refundable if work has begun.
11. Dispute resolution
11.1 Governing law
These terms are governed by the laws of Lithuania.
11.2 Good faith resolution
Both parties agree to attempt to resolve any disputes through good faith negotiation before pursuing legal action.
12. Changes to terms
Systemic Drive reserves the right to update these Terms and Conditions at any time. Updated terms will be posted on our website with a new "Last Updated" date. Existing projects will remain under the terms agreed upon at project start.
